CACHE COMPASS TERMS OF SERVICE & SOFTWARE LICENSE AGREEMENT

Effective Date: October 4, 2026 Agreement Version: 2026-10-04

IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY BEFORE PURCHASING, INSTALLING, ACTIVATING, OR USING CACHE COMPASS.

This Terms of Service & Software License Agreement (the "Agreement") is a binding agreement between you ("you" or "Licensee") and Cache Compass ("Cache Compass," "we," "us," or "our") governing your purchase, installation, activation, access to, and use of the Cache Compass software, related licensing services, documentation, updates, websites, downloads, and support services (collectively, the "Services").

By affirmatively accepting this Agreement during checkout, installation, activation, or another acceptance process, or by installing, activating, accessing, or using Cache Compass after this Agreement is presented to you, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

If you do not agree, do not purchase, install, activate, or use Cache Compass.

The Cache Compass Privacy Policy, Refund Policy, and any purchase-specific terms expressly presented at the time of purchase are incorporated into this Agreement by reference. Current copies are available through the official Cache Compass website at https://slcachecompass.com/.

1. ELIGIBILITY AND AUTHORITY

You must have the legal capacity to enter into a binding agreement.

If you acquire or use Cache Compass for a business, organization, or other legal entity, you represent that you have authority to bind that entity to this Agreement.

You are responsible for ensuring that your use of Cache Compass complies with laws and rules applicable to you.

2. LICENSE: NOT A SALE

Cache Compass is licensed, not sold.

Subject to this Agreement and payment of applicable fees, Cache Compass grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Cache Compass for your own lawful purposes and only for the number of Second Life avatar accounts covered by your active license capacity.

Purchasing Cache Compass does not transfer ownership of Cache Compass or any source code, object code, licensing system, algorithm, method, interface, design, branding, documentation, trade secret, copyright, trademark, or other intellectual property.

Cache Compass and its licensors reserve all rights not expressly granted to you.

A "one-time purchase" means that the applicable license does not require a recurring subscription fee unless otherwise expressly stated at purchase. It does not mean or promise lifetime software operation, lifetime support, lifetime updates, lifetime downloads, perpetual compatibility, or operation for any minimum period of time.

3. LICENSE CAPACITY, AVATAR ASSIGNMENTS, AND RECORDS

A license permits use only within its authorized avatar capacity.

Additional qualifying purchases associated with the same customer may increase the capacity of an existing active entitlement instead of creating unlimited independent licenses.

Unless Cache Compass expressly authorizes otherwise, normal self-service capacity is limited to 30 active Second Life avatar assignments per customer. Capacity above 30 requires express manual authorization from Cache Compass.

You may not use purchases, alternate accounts, identities, payment methods, or other means to evade capacity limits or licensing controls.

Cache Compass may retain license, purchase, avatar-assignment, replacement, and historical association records as reasonably necessary for licensing, customer support, fraud prevention, security, accounting, dispute resolution, and audit purposes, subject to the Privacy Policy and applicable law.

4. LICENSE KEYS, ACCESS, AND ACCOUNT SECURITY

You are responsible for safeguarding any Cache Compass license key, receipt, activation information, and access credentials provided to you.

You may not knowingly disclose or provide a license key to an unauthorized person.

You are responsible for activity performed using your license to the extent permitted by applicable law, except where unauthorized activity results from a security failure attributable to Cache Compass.

If you believe a license key or other Cache Compass credential has been compromised, contact Cache Compass promptly through the official support method.

Cache Compass may replace, disable, reissue, or otherwise modify licensing credentials when reasonably necessary to protect the Services or a legitimate customer.

Cache Compass may perform reasonable automated license-validity, entitlement-capacity, software-integrity, anti-tamper, fraud-prevention, and circumvention checks as necessary to administer and protect the Services.

Such checks will be limited to information reasonably necessary for licensing, security, fraud prevention, integrity verification, support, and enforcement and will be handled in accordance with the Privacy Policy and applicable law.

5. PROHIBITED USE

Except to the extent a restriction is prohibited by applicable law, you may not copy, reproduce, redistribute, sell, sublicense, rent, lease, lend, share, publish, upload, mirror, or provide Cache Compass to an unauthorized person; bypass, disable, defeat, circumvent, manipulate, or tamper with activation, licensing, capacity, authentication, telemetry, integrity, or security controls; falsify or manipulate licensing, purchase, avatar, or entitlement records; use another person's license without authorization; reverse engineer, decompile, disassemble, decode, extract, reconstruct, translate, modify, or attempt to discover or obtain source code, non-public logic, algorithms, credentials, or security mechanisms; create or distribute cracks, patches, key generators, stolen credentials, exploits, or circumvention tools or instructions; remove or alter proprietary notices; use Cache Compass to infringe intellectual-property or privacy rights; or use the Services for fraud, malicious interference, unauthorized access, or other unlawful activity.

Nothing in this Section prohibits activity that applicable law expressly permits notwithstanding contractual restrictions.

6. PIRACY, CIRCUMVENTION, AND INTELLECTUAL PROPERTY ENFORCEMENT

Unauthorized copying, distribution, resale, sublicensing, circumvention, exploitation, or disclosure of Cache Compass may cause substantial harm that can be difficult to measure.

Cache Compass reserves all rights and remedies available under applicable law, including, where legally available, actual damages, recovery of profits attributable to infringement or unlawful conduct, statutory damages, injunctive or equitable relief, attorneys' fees, investigation and litigation costs, and other lawful relief.

Nothing in this Agreement creates a predetermined penalty or guarantees recovery of any particular amount.

Any remedy remains subject to applicable law, proof, judicial determination, and any legally required limitations.

7. SECOND LIFE, FIRESTORM, WINDOWS, AND THIRD-PARTY DEPENDENCIES

Cache Compass is an independent product.

It is not affiliated with, sponsored by, endorsed by, or operated by Linden Research, Inc., Linden Lab, Second Life, The Phoenix Firestorm Project, Firestorm, Microsoft, or their respective owners, operators, or developers.

All third-party names, marks, software, and services belong to their respective owners.

Cache Compass depends on certain locally available Firestorm data, cache structures, behaviors, interfaces, functionality, file formats, and other technical conditions that are controlled by The Phoenix Firestorm Project or other third parties and not by Cache Compass.

Cache Compass has no contractual or technical ability to require Firestorm, Second Life, Windows, or another third party to preserve any structure, behavior, interface, functionality, file format, access method, or technical condition on which Cache Compass depends.

Firestorm, Second Life, Windows, or another relevant third party may modify, restrict, remove, encrypt, redesign, relocate, disable, or discontinue functionality or technical access on which Cache Compass depends.

Such a change may temporarily or permanently prevent some or all Cache Compass functionality from operating, even where Cache Compass itself has not otherwise changed.

Cache Compass may attempt to restore compatibility where technically feasible and commercially reasonable, but Cache Compass does not guarantee that compatibility can or will be restored after a third-party change.

Your use of Second Life, Firestorm, Windows, and other third-party products remains subject to the terms and policies imposed by their respective providers.

Cache Compass is not responsible for a third party's acts, omissions, outages, policies, account actions, product changes, technical restrictions, removal of functionality, or discontinuation of services.

8. SYSTEM REQUIREMENTS AND CUSTOMER ENVIRONMENT

Cache Compass is designed for supported Windows and Firestorm environments identified by Cache Compass from time to time.

Cache Compass cannot guarantee operation on every computer, Windows configuration, security configuration, antivirus configuration, user-account configuration, redirected folder configuration, OneDrive configuration, network configuration, Firestorm installation, viewer configuration, hardware environment, or other local system configuration.

You are responsible for maintaining a reasonably supported operating environment and meeting published system requirements.

Cache Compass may discontinue support for obsolete or unsupported Windows versions, Firestorm versions, application versions, hardware environments, or other configurations.

A technical issue arising solely from an unsupported or materially altered customer environment does not necessarily indicate a defect in Cache Compass.

9. INVENTORY OPERATIONS AND USER RESPONSIBILITY

Cache Compass is an inventory-management and cleanup tool.

Its scanning, matching, filtering, duplicate-detection, and cleanup features assist you in identifying and reviewing inventory information. They do not replace your judgment.

You are responsible for reviewing proposed cleanup actions, selected items, selected folders, exclusions, protected folders, and other relevant results before approving an inventory operation.

No automated analysis can guarantee that every item, folder, duplicate, keyword match, protected object, body size, naming variation, or other inventory condition will be identified or classified exactly as you intend.

Results may be affected by inventory structure, viewer behavior, Firestorm cache state, naming conventions, permissions, third-party changes, or other technical conditions.

Cache Compass does not determine or guarantee the monetary, replacement, collectible, sentimental, virtual-market, or other value of any Second Life inventory item.

You remain responsible for determining whether an item should be retained before approving cleanup.

Cache Compass is designed to move approved items to Second Life Trash rather than permanently deleting them directly.

Cache Compass does not empty or purge Second Life Trash.

You are responsible for reviewing the contents of Second Life Trash before permanently deleting or purging those contents.

Once you approve an inventory operation, Cache Compass may carry out the actions you selected. You are responsible for verifying that the proposed operation reflects your intentions before approving it.

To the maximum extent permitted by applicable law, Cache Compass is not responsible for loss of virtual items resulting from cleanup actions affirmatively approved by you; selections, filters, matching criteria, or cleanup criteria approved by you; items subsequently deleted or purged from Second Life Trash; your decision not to review Trash before permanently deleting its contents; or actions performed outside Cache Compass after an item has been moved to Trash.

Nothing in this Section limits responsibility for damage directly caused by a defect in Cache Compass where applicable law does not permit that responsibility to be excluded or limited.

You should maintain any backups, records, or other safeguards reasonably appropriate for virtual property or information important to you.

10. CREDENTIALS AND PASSWORDS

Cache Compass does not require your Second Life account password.

Do not provide your Second Life password, MFA code, recovery code, or other Second Life login credential to Cache Compass, its support channels, reviewers, bloggers, or anyone claiming that the credential is required for Cache Compass support.

Cache Compass is not responsible for credentials voluntarily disclosed to an unauthorized third party.

11. FEATURES AND FUTURE DEVELOPMENT

Cache Compass may add, modify, improve, replace, restrict, reorganize, or retire software features or functionality.

A purchase entitles you to the Cache Compass license and capacity expressly offered as part of that purchase.

A purchase does not create an entitlement to unspecified future features, functionality, integrations, services, upgrades, improvements, product development, or functionality described only as planned, proposed, experimental, possible, or under consideration.

Features shown in demonstrations, documentation, screenshots, videos, marketing materials, or earlier versions may later be modified, replaced, reorganized, or retired.

Cache Compass does not guarantee that any particular feature or workflow will remain available indefinitely.

12. UPDATES, MAINTENANCE, AND COMPATIBILITY

Cache Compass may provide, require, modify, replace, or discontinue updates, security fixes, licensing changes, compatibility changes, corrections, features, functionality, or supported configurations when reasonably appropriate for security, compatibility, product development, business operations, legal compliance, or other lawful reasons.

Certain updates may be required for continued safe or compatible use.

Cache Compass does not guarantee that every historical version will remain supported or available for download.

Cache Compass may remove previous installers, releases, or versions that are obsolete, insecure, incompatible, superseded, or no longer appropriate for distribution.

Cache Compass does not guarantee perpetual compatibility with any past or future version of Firestorm, Second Life, Windows, hardware configuration, or third-party service.

Cache Compass may designate versions, operating systems, Firestorm versions, hardware configurations, or other environments as obsolete or unsupported and may discontinue support, updates, compatibility maintenance, troubleshooting, or downloads for those configurations.

13. PRICING, LICENSE TIERS, PROMOTIONS, AND PURCHASE OPTIONS

Prices, license capacities, tiers, promotions, discounts, purchase options, payment methods, bundles, and other commercial offerings may change from time to time.

Unless expressly stated otherwise, changes apply prospectively and do not alter the amount already paid for a completed purchase.

A customer's previous purchase price does not guarantee that the same price, promotion, license tier, capacity option, payment method, purchasing channel, or upgrade option will remain available for future purchases.

Promotional discounts may be limited by time, customer, referral source, campaign, platform, purchase channel, coupon code, or other stated criteria.

Cache Compass may introduce, modify, replace, combine, or discontinue license tiers or purchasing options.

Any change remains subject to applicable law and does not eliminate an existing customer's valid paid entitlement solely because the currently offered pricing structure has changed.

14. DISCONTINUATION OF CACHE COMPASS OR THE SERVICES

Cache Compass reserves the right to discontinue, suspend, retire, replace, or cease providing all or any portion of Cache Compass or the Services at any time, temporarily or permanently, for any lawful reason, including business, financial, legal, technical, security, operational, compatibility, third-party platform, or other reasons.

Cache Compass is not required to continue operating or supporting Cache Compass indefinitely.

This right includes the software, licensing or activation infrastructure, website, downloads, updates, compatibility maintenance, customer support, and any individual feature or functionality.

Cache Compass may also temporarily interrupt licensing, activation, website, download, update, or support functionality for maintenance, security, technical failures, third-party outages, business operations, or circumstances outside its reasonable control.

Where reasonably practicable, Cache Compass may provide notice of a material discontinuation through the official website, software, contact information associated with a purchase or support request, or another reasonable method.

Advance notice is not guaranteed, including where immediate action is reasonably necessary because of security, legal compliance, infrastructure failure, third-party service termination, technical incompatibility, financial or operational circumstances, or other lawful reasons.

Discontinuation of Cache Compass or any portion of the Services does not, by itself, create an entitlement to a refund for a previously delivered license, including where discontinuation results from a subsequent change to Firestorm, Second Life, Windows, or another third-party platform, except where a refund or other remedy is required by applicable law or expressly provided by the Cache Compass Refund Policy.

A one-time purchase does not constitute a promise or guarantee that Cache Compass, its licensing infrastructure, downloads, website, updates, support, compatibility, or any particular feature will remain available for any minimum period of time or indefinitely.

Any discontinuation, termination, modification, or reduction of the Services remains subject to applicable law and any consumer, refund, warranty, notice, or other rights that cannot lawfully be waived or limited by this Agreement.

15. THIRD-PARTY MARKETPLACES AND PAYMENT SERVICES

Purchases or deliveries may involve third-party services such as Second Life Marketplace, Linden Lab systems, Stripe, payment processors, email providers, hosting providers, or other infrastructure providers.

Those services are not controlled by Cache Compass.

Their outages, transaction-processing delays, account restrictions, exchange rates, currency systems, payment policies, technical failures, delivery failures, security measures, or other actions may affect a purchase or delivery.

Cache Compass is not responsible for the independent operation of a third-party service, but Cache Compass will reasonably review a legitimate support request involving a Cache Compass purchase where necessary to determine whether the customer's Cache Compass entitlement was properly delivered.

16. PAYMENTS AND REFUNDS

Prices and applicable license capacity are displayed or otherwise communicated before purchase.

Each payment may remain a separate transaction record even when the purchase increases capacity on an existing entitlement.

You are responsible for verifying the product and capacity selected before completing payment.

Purchases are governed by the Cache Compass Refund Policy available at https://slcachecompass.com/refund-policy.html and by any non-waivable rights provided by applicable law.

Except where a refund is required by applicable law or expressly authorized under the Refund Policy, digital purchases are final once the applicable license entitlement has been provided.

A subsequent loss or reduction of compatibility resulting from a change to Firestorm, Second Life, Windows, another third-party platform, or an unsupported customer environment does not, by itself, create a right to a refund for a previously delivered and functioning license.

Discontinuation of Cache Compass or a portion of the Services does not, by itself, create a refund entitlement for a previously delivered license, except where a refund or other remedy is required by applicable law or expressly provided under the Refund Policy.

Nothing in this Agreement waives rights that cannot lawfully be waived.

17. REMEDIES FOR VERIFIED TECHNICAL FAILURES

Where Cache Compass confirms that a material technical failure attributable to Cache Compass prevents a valid customer from using the purchased license, Cache Compass may, to the extent permitted by applicable law and depending on the circumstances, attempt to repair the defect, provide an updated version, provide a workaround, replace or restore the affected entitlement, or provide another reasonable remedy.

Where applicable law requires a refund or other specific remedy, Cache Compass will provide the remedy required by law.

Nothing in this Section guarantees that every technical issue can be corrected or that compatibility with a third-party platform can be restored.

18. PRIVACY AND DATA HANDLING

Cache Compass's collection, use, retention, and handling of personal, account-related, technical, licensing, transaction, and support information are described in the Cache Compass Privacy Policy available through https://slcachecompass.com/.

The Privacy Policy is incorporated into this Agreement by reference.

You acknowledge that licensing and support functionality may require processing information reasonably necessary to validate entitlements, associate authorized avatars, prevent abuse, provide support, maintain transaction history, diagnose errors, and protect the Services.

Cache Compass may retain records sufficient to establish which version of this Agreement and related policies was presented or accepted, the date and time of acceptance, the associated authenticated account, transaction or license, relevant avatar or entitlement identifiers, and material licensing or enforcement events.

To the extent permitted by law, such records may be used to establish contract acceptance, entitlement history, transaction history, fraud prevention, support history, and enforcement history.

19. SUPPORT AND VOLUNTARY DIAGNOSTICS

Cache Compass may provide support through the official support methods identified on its website.

Support availability, response times, and the ability to resolve a particular issue are not guaranteed unless Cache Compass expressly agrees otherwise in writing.

You are responsible for providing accurate non-secret information reasonably necessary to investigate a support request.

Cache Compass may provide optional diagnostic tools intended to collect technical information relevant to troubleshooting.

Running or submitting a Cache Compass support diagnostic is voluntary unless otherwise expressly stated.

A diagnostic may include information such as Windows and application versions, Firestorm version and configuration information, application paths, Windows user-folder paths, display and monitor configuration, Cache Compass logs, Firestorm logs relevant to the reported issue, error messages, technical identifiers, inventory or folder names that appear in relevant logs, UUIDs or similar identifiers associated with the reported problem, and other technical information reasonably necessary to investigate the issue.

Depending on the customer's Windows configuration, some diagnostic information may contain a local Windows account name as part of a filesystem path.

Diagnostic information is used for troubleshooting, security, support, and product improvement as described in the Privacy Policy.

Do not include or provide your Second Life password, MFA code, recovery code, payment-card number, or other secret credential in a diagnostic or support request.

Nothing in this Agreement, any purchase, or any support obligation requires Cache Compass to disclose source code, non-public algorithms, internal architecture, security mechanisms, licensing logic, credentials, trade secrets, proprietary tooling, or other confidential technical information.

20. SUSPENSION AND REVOCATION

To the maximum extent permitted by applicable law, Cache Compass reserves the right to suspend, restrict, deactivate, or revoke a license or access to the Services when Cache Compass determines in good faith that doing so is reasonably appropriate to protect its business, customers, systems, intellectual property, licensing model, legal interests, or the integrity of the Services.

Reasons may include a chargeback or reversed payment; fraud or attempted fraud; unauthorized redistribution or resale; unauthorized license sharing; deliberate capacity circumvention; tampering with licensing, authentication, integrity, or security systems; piracy or attempted piracy; unlawful use; material breach of this Agreement; or a credible threat to Cache Compass, its infrastructure, customers, intellectual property, or licensing systems.

Nothing in this Section waives any non-waivable consumer right, refund right, notice requirement, or other remedy required by applicable law.

Where reasonably practicable and appropriate, Cache Compass may provide notice or an opportunity to resolve a curable issue.

Immediate action may be taken when reasonably necessary to address fraud, security threats, ongoing infringement, technical abuse, chargebacks, or similar risks.

A license will not be suspended or revoked merely because a customer submits criticism, a legitimate complaint, a good-faith support dispute, or a lawful refund request.

21. TERMINATION AND EFFECT OF TERMINATION

This Agreement remains effective until terminated.

Your rights under the license terminate if you materially breach this Agreement and the breach is not cured when a cure is required by applicable law or expressly offered by Cache Compass.

You may terminate your use at any time by discontinuing use and uninstalling Cache Compass.

Termination does not itself create a right to a refund.

Upon termination or lawful revocation, you must stop using Cache Compass and any terminated license rights.

Provisions that by their nature should survive termination, including provisions concerning ownership, intellectual property, payment obligations, disclaimers, limitations of liability, dispute terms, and enforcement rights, survive to the extent permitted by law.

Termination, suspension, deactivation, or revocation does not authorize you to retain, unlock, modify, redistribute, transfer, share, circumvent, or continue using any unauthorized copy of Cache Compass or any terminated licensing credential.

22. WARRANTY DISCLAIMER

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CACHE COMPASS AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS.

CACHE COMPASS DISCLAIMS ALL WARRANTIES THAT MAY LAWFULLY BE DISCLAIMED, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

CACHE COMPASS DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR PERPETUALLY AVAILABLE; THAT EVERY INVENTORY CONDITION WILL BE IDENTIFIED; THAT RESULTS WILL MATCH EVERY USER'S INTENDED CLASSIFICATION; THAT EVERY FEATURE WILL REMAIN AVAILABLE INDEFINITELY; THAT FUTURE FEATURES WILL BE PROVIDED; THAT HISTORICAL INSTALLERS OR RELEASES WILL REMAIN AVAILABLE; THAT CACHE COMPASS WILL REMAIN COMPATIBLE WITH EVERY SYSTEM, VIEWER, THIRD-PARTY SERVICE, OR CONFIGURATION; OR THAT THIRD-PARTY PLATFORMS WILL CONTINUE TO PROVIDE ACCESS OR FUNCTIONALITY ON WHICH CACHE COMPASS DEPENDS.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the maximum extent permitted by law.

23. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CACHE COMPASS AND ITS OWNERS, OPERATORS, AFFILIATES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST VIRTUAL ITEMS, LOST BUSINESS OPPORTUNITY, LOSS OF USE, LOSS OF EXPECTED FUNCTIONALITY, OR INTERRUPTION OF SERVICE, ARISING OUT OF OR RELATING TO CACHE COMPASS OR THE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES MAY BE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CACHE COMPASS'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PARTICULAR CACHE COMPASS LICENSE, PURCHASE, OR THE SERVICES ASSOCIATED WITH IT WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO CACHE COMPASS FOR THE APPLICABLE LICENSE OR PURCHASE GIVING RISE TO THE CLAIM.

These limitations do not exclude liability that applicable law does not permit to be excluded or limited.

24. INDEMNIFICATION

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Cache Compass and its owners, operators, affiliates, contractors, and service providers from third-party claims, liabilities, damages, judgments, losses, and reasonable costs, including reasonable attorneys' fees, arising from your unlawful use of Cache Compass, your unauthorized distribution or exploitation of Cache Compass, your material breach of this Agreement, or your infringement of another person's rights.

This obligation does not apply to the extent a claim results from Cache Compass's own unlawful conduct, gross negligence, or willful misconduct where such an exclusion is required by law.

25. REVIEWS, BLOGGERS, REFERRALS, AND PROMOTIONAL RELATIONSHIPS

Cache Compass may provide complimentary licenses, promotional codes, discounts, referral benefits, early access, review copies, or other benefits to bloggers, reviewers, creators, affiliates, testers, or other third parties.

Recipients remain responsible for complying with applicable advertising, endorsement, disclosure, and consumer-protection requirements.

Where a person receives a free product, discount, referral benefit, commission, compensation, or another material benefit in connection with discussing or promoting Cache Compass, that person should clearly and conspicuously disclose the relationship where required by applicable law.

Cache Compass does not require a positive review as a condition of receiving a legitimate review copy unless a particular program expressly and lawfully states otherwise.

Nothing in this Agreement authorizes false, misleading, deceptive, or undisclosed endorsements.

26. GOVERNING LAW AND VENUE

This Agreement is governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Before commencing formal proceedings, you and Cache Compass agree to make a reasonable, good-faith effort to resolve the dispute directly.

To the extent legally permitted, any unresolved dispute arising out of or relating to this Agreement or Cache Compass shall be brought in a court of competent jurisdiction located in Kentucky, and the parties consent to the jurisdiction of those courts.

Any mandatory consumer-protection rights or mandatory venue rights that apply to you remain unaffected.

27. ELECTRONIC CONTRACTING, RECORDS, AND NOTICES

You agree that electronic presentation of this Agreement and your electronic acceptance have the same force and effect as acceptance on paper to the extent permitted by law.

Cache Compass may maintain electronic records of acceptance, including the agreement or legal-bundle version, date and time of acceptance, authenticated account, transaction or order identifier, applicable license, and other information reasonably necessary to document acceptance.

Cache Compass may provide legally permitted notices through the software, the official website, the contact information associated with a transaction or support request, or another reasonable electronic method.

You are responsible for keeping any contact information you voluntarily provide to Cache Compass reasonably current.

Notices to Cache Compass should be sent through the official support method identified at https://slcachecompass.com/ unless applicable law requires another method.

28. CHANGES TO THIS AGREEMENT

Cache Compass may revise, amend, replace, or otherwise update this Agreement to reflect changes in the Services, software, law, security requirements, licensing practices, pricing, third-party dependencies, business operations, or other lawful reasons.

The current version may be made available through the official Cache Compass website, software, installer, checkout process, or another reasonable electronic method.

Cache Compass is not required to separately announce every revision except where notice or renewed acceptance is required by applicable law.

Changes may apply to future purchases, installations, activations, updates, or continued use to the extent permitted by applicable law.

Where applicable law or the nature of a material change requires renewed affirmative acceptance, Cache Compass may require acceptance before continued access to or use of affected Services.

A revised Agreement will not retroactively eliminate rights or impose retroactive liability where prohibited by applicable law.

Nothing in this Section waives any notice, consent, consumer-protection, or other right that cannot lawfully be waived.

29. ASSIGNMENT

You may not assign, transfer, delegate, sell, or sublicense this Agreement or your Cache Compass license without prior written authorization from Cache Compass, except where applicable law provides otherwise.

Cache Compass may assign this Agreement in connection with a merger, acquisition, sale of assets, reorganization, transfer of ownership, or transfer of the Cache Compass business, subject to applicable law.

30. FORCE MAJEURE

Cache Compass is not responsible for delay or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, severe weather, war, terrorism, civil disorder, labor disruptions, widespread Internet or telecommunications failures, power failures, governmental action, third-party platform outages, infrastructure failures, or cyberattacks not caused by Cache Compass's failure to use legally required care.

This Section does not excuse obligations that applicable law does not permit to be excused.

31. SEVERABILITY AND NO WAIVER

If any provision of this Agreement is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law or, where appropriate, severed, and the remaining provisions will remain in effect.

Cache Compass's failure to enforce a provision on one occasion does not waive its right to enforce that or another provision later.

32. HEADINGS AND INTERPRETATION

Section headings are provided for convenience and do not limit the meaning of this Agreement.

Words such as "including" mean "including without limitation" unless the context clearly requires otherwise.

No rule construing ambiguity against the drafter will apply to the extent such a rule may lawfully be waived.

33. ENTIRE AGREEMENT AND ORDER OF TERMS

This Agreement, together with the Privacy Policy, Refund Policy, and any purchase-specific terms expressly presented to and accepted by you, constitutes the entire agreement between you and Cache Compass concerning the subject matter addressed here and supersedes prior or contemporaneous discussions, representations, or understandings concerning that subject matter, except for terms that applicable law does not permit to be superseded.

If a purchase-specific term expressly conflicts with this Agreement, the more specific term controls for that purchase to the extent of the conflict.

If an installer copy and website copy of this Agreement differ because of a publication or synchronization error, the version affirmatively presented to and accepted by you for the applicable installation or transaction controls, subject to applicable law.

34. NO THIRD-PARTY BENEFICIARIES

Except where this Agreement expressly states otherwise, this Agreement is for the benefit of you and Cache Compass and does not create contractual rights in any other person or entity.

35. VOLUNTARY FEEDBACK

If you voluntarily provide Cache Compass with suggestions, ideas, enhancement requests, feature concepts, comments, bug reports, or other feedback, you grant Cache Compass a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable right to use, reproduce, modify, adapt, develop, commercialize, disclose, and otherwise exploit that feedback for any lawful purpose without compensation or obligation to you.

This does not transfer ownership of materials you identify and provide as your own pre-existing copyrighted content.
